1. Introduction.


Welcome to Royal Ridge Global LLC (“Royal Ridge”, “we”, “our”, “us”).

These Terms & Conditions (“T&C”) govern your use of our website, online purchases, Odoo modules, business packages, consultations, implementation services, and any related products or services we provide.

By purchasing, accessing, or using any of our services, you (“Client”, “Customer”, “you”) agree to be bound by these T&C.



2. Company Information.

3. Deliverables and Acceptance


Deliverables vary depending on the selected package, modules, and project scope. Acceptance of any deliverable occurs upon delivery unless the client raises a claim within the notification period specified in these Terms.

Royal Ridge provides services including (but not limited to):

3.1 Odoo Modules (Standard Odoo).

We offer standard Odoo modules and configure them based on each client’s business requirements.

3.2 Business Packages (1–5 Employees).

These packages include a ready-to-launch Odoo setup, tailored for independent businesses, delivered within 3 business days. This timeline commences only after the client has submitted all required Master Data as defined in (section 4. Master Data Definition).

3.3 Consultations.

Consultations are currently offered free of charge and can be booked online.

3.4 Implementation Services (For Medium & Large Businesses)

Royal Ridge Global LLC may request the client to complete a pre-assessment questionnaire to recommend suitable Odoo modules. This assessment is indicative only and does not replace the full business analysis conducted during formal discovery.

After an initial assessment and business review, we provide a Business Proposal that includes:

  • Scope of Work (SOW)
  • Timeline
  • Pricing
  • Implementation plan

Implementation is governed by a separate contract, but is still referenced within these T&C.

3.5 Claims Notification Period

Any claim regarding delivered services must be sent to Royal Ridge Global LLC via recorded mail within seven (7) days of delivery.

After this period, services and deliverables are considered accepted and no claims will be admissible.



4. Master Data Definition


Master Data refers to all essential business information required to configure and activate the Odoo system, including (but not limited to):

  • Customer lists
  • Supplier lists
  • Product lists and SKU details
  • Inventory quantities
  • Chart of accounts and financial setup
  • Employee records
  • Service lists
  • Pricing rules
  • Any data necessary for Odoo activation

Work officially begins after the client submits all required Master Data.



5. Delivery & Timelines


5.1 Packages (1–5 Employees)

Delivery is typically completed within 3 business days after receiving complete Master Data. However, timelines may be extended depending on the complexity of the data or delays in Master Data submission by the client.

5.2 Website Projects.

Website delivery timelines depend entirely on:

  • Scope changes
  • Requested features
  • Revisions
  • Change requests
  • Content submission
  • Approvals

Because we work using an Agile methodology, delivery dates cannot be fixed and may change based on ongoing client inputs and modifications OR depends on the (SOW).

5.3 Medium & Large Implementations.

The typical implementation phases consist of:

  1. Gap Analysis
  2. Kickoff Meeting
  3. Master Data Collection
  4. User Acceptance Test (UAT)
  5. Training
  6. Go-Live
  7. 30 Days Post-Go-Live Support


6. Payment & Payment Terms.


All transactions are processed in USD unless otherwise stated.

6.1 Accepted Payment Methods.

    • (Wire-Transfer)

6.2 Taxes.

  • All published prices not include taxes.
  • No additional tax will be added at checkout.

6.3 Implementation Payment Structure.

Implementation fees are paid in two installments:

  • 50% upfront
  • 50% before Go-Live

6.4 Payment Due Date, Late Payment & Interest.

  • All invoices must be paid within twenty-one (21) working days unless otherwise stated in the invoice or order.
  • If the client fails to pay on time, Royal Ridge Global LLC may:

    • Suspend any services without prior notice.

6.5 Debt Collection for Extended Delays.

  • If a payment remains overdue for more than sixty (60) days, Royal Ridge Global LLC may engage a debt-recovery agency. All legal, administrative, and recovery costs will be borne by the client.

6.6 Odoo Subscription.

  • The RRG packages and other Services include only the initial setup and configuration services provided by Royal Ridge Global. The official Odoo subscription fee is not included in our pricing.

6.6.1Direct Relationship: 

    • The Odoo subscription is a separate contract between the Client and Odoo S.A. All billing, renewals, and cancellations for the Odoo license must be managed directly with Odoo. or their authorized representatives.

6.6.2 No Liability:

    • ​Royal Ridge Global LLC bears no responsibility or liability for the renewal, suspension, or termination of the Client’s Odoo account.

6.6.3 Third-Party Support: 

    • Technical issues related to the Odoo hosting infrastructure or license status are handled by Odoo’s official support/ticketing system.



7. Refund Policy.


7.1 Digital Products & Packages.

A refund may be issued for 7 days, only if work has not started.

Work is considered started once:

  • The client submits Master Data.
  • OR we begin setup or configuration.
  • OR we perform any related technical work.

7.2 No Refund After Work Begins.

Once any part of the project has started, no refunds are provided.



8. Cancellation Policy.


Clients may cancel for 7 days, only before submitting Master Data.

After Master Data is submitted, cancellation or refunds are not permitted.



9. License & Intellectual Property.


9.1 License to Use Odoo Modules.

Clients receive a non-exclusive, non-transferable license to use the modules delivered.

9.2 No Resale or Redistribution.

Clients are not allowed to:

  • Resell
  • Redistribute
  • Re-license
  • Publish
  • Share
  • Upload the modules publicly (e.g., GitHub)

9.3 Custom Work.

Any customizations developed for a client remain the intellectual property of Royal Ridge unless explicitly stated otherwise in the SOW.



10. Data Privacy & Security.


10.1 Data Hosting

All client data is hosted on Odoo , and managed by Odoo, or Client free to offer the preferred hosting provider.

10.2 Data Usage

We only use client data for:

  • Implementing the system
  • Configuring the solution
  • Training
  • Ensuring system functionality

We do not store, copy, share, or use client data for any other purpose.

10.3 No Third-Party Sharing

We do not share client information with any external party unless required by law.



11. Client Responsibilities.


Clients agree to:

  • Provide accurate Master Data
  • Respond to requests for information
  • Attend required meetings
  • Provide approvals on time
  • Maintain valid licenses required for Odoo usage

Delays caused by the client may extend timelines.



12. Implementation Contract (Separate Agreement).


Larger implementations require a separate agreement covering:

  • Project scope
  • Payment schedule
  • Deliverables
  • Responsibilities
  • Liability
  • Terms of engagement

This separate contract is referenced within these T&C.



13. Limitation of Liability.


13.1 Royal Ridge is not liable for:

  • Loss of profits, business interruption, or indirect damages.
  • Subject to the data hosting provisions in Section 10, Royal Ridge shall not be held liable for any Data loss, service downtime, or security breaches caused by third-party hosting.
  • Delays resulting from client inaction, late master data submission, or scope changes.
  • Issues related to Odoo Subscriptions, including but not limited to: payment failures, renewals, account suspension, or termination by Odoo.
  • Any third-party services, plugins, or software not directly developed and provided by Royal Ridge.

13.2 Liability Cap:

  • Our total liability for any claim shall not exceed the actual amount paid by the client for the specific service under dispute.

13.3 Service Obligations:

  • Royal Ridge Global LLC provides services on a "Best Effort" basis with reasonable care. We do not guarantee specific business results or financial outcomes.

13.4 Third-Party Claims:

  • Royal Ridge Global LLC will not act as a guarantor or be held liable in any legal claim filed by an end-consumer or third party against the client.

13.5 Force Majeure:

  • Royal Ridge is not liable for service delays or interruptions caused by Force Majeure events, including but not limited to global internet outages, third-party server failures, or sudden changes in government regulations (e.g., ZATCA updates) that are beyond our control.

13.6 Legal Independence:

  • The Client acknowledges that Royal Ridge Global LLC is an independent service provider and is not a subsidiary, legal representative, or agent of Odoo. Any disputes regarding Odoo licenses or official support must be resolved directly with Odoo.



14. Use by International Clients.


14.1  International Clients.

We serve customers worldwide.

International clients are responsible for complying with their local laws regarding imports, digital purchases, taxation, or regulatory requirements.

14.2 Withholding Taxes (International Clients)

  • Some countries apply withholding tax at source. Any such withholding is the full responsibility of the client.
  • Royal Ridge Global LLC must receive the full invoice amount, and will not bear any tax-related costs associated with the laws of the client’s country.



15. Anti-Fraud & Abuse.


We may suspend or terminate services if:

  • Fraudulent activity is suspected
  • Payment disputes are filed in bad faith
  • Abusive or malicious system usage occurs


16. Updates to Terms & Conditions.


We may update these T&C from time to time.

Continued use of our services means acceptance of updated terms.



17. Priority of Client Terms / Waiver.


The client explicitly waives its own standard terms and conditions, even if such terms were created after these Terms & Conditions. Any exception or modification must be agreed upon in advance, in writing.



18. Support


A 30-day delivery support period is included with all packages.

This support is limited to correcting delivery-related issues and does not include scope changes, enhancements, or custom development.

 For additional changes or requests, on-demand support is available.
